The issuing organization is the party that pays the principal and interest of the bond through the Payment Agent. In case NVS is also the Bond Payment Agent, after receiving the money from the issuing organization, NVS will distribute the money to the bondholders according to the ownership ratio and according to the provisions of the Bond Terms and Conditions.

The principal and interest of the bond will be transferred to the customer’s account registered at NVS when conducting the bond purchase and sale transaction.

To become a professional investor, the Client must satisfy the conditions prescribed by the Securities Law 2019, Decree No. 155/2020/ND-CP dated December 31, 2020 and Decree No. 65/2022/ND-CP dated September 16, 2022. Specifically:

A professional securities investor is an investor with financial capacity or professional qualifications in securities, including:

a) Commercial banks, foreign bank branches, financial companies, insurance business organizations, securities companies, securities investment fund management companies, securities investment companies, securities investment funds, international financial organizations, non-budgetary state financial funds, state financial organizations that are allowed to buy securities in accordance with relevant laws;

b) A company with a contributed charter capital of over VND 100 billion or a listed organization or an organization registered for trading;

c)  A person with a securities practice certificate;

d) An individual holding a listed or registered securities portfolio with a minimum value of VND 2 billion determined by the average daily market value of the securities portfolio for a minimum period of 180 consecutive days prior to the date of determining the status of a professional securities investor, excluding the value of margin loans and the value of securities used for resale transactions. The determination of a professional securities investor at this point is valid for 03 months from the date of confirmation;

e) An individual with a taxable income of at least VND 1 billion in the most recent year up to the time the individual is determined to be a professional securities investor according to the tax declaration submitted to the tax authority or the tax deduction certificate of the paying organization or individual.

•  For bonds deposited at NVS, customers do not need to open an account, can trade directly, contact Operations department staff for support in purchasing bonds.
• Customers having an intention to sell/transfer bonds need to proactively find a counterpart buyer, then complete bond transfer procedures at NVS.
